These Terms of Service (the "Terms") set out the conditions for browsing, purchasing products, and using any other services (the "Services") provided by SOYTEN LLC ("we," "us," or "the Company") through our online store and related websites (collectively, "the Site"). Users of the Site ("Users") must agree to these Terms before using the Services.
In addition to these Terms, we may establish a Privacy Policy, Refund Policy, Shipping Policy, legally required commercial disclosures, and other individual guidelines (collectively, "Individual Policies"). The Individual Policies form part of these Terms; in the event of any conflict between these Terms and an Individual Policy, the Individual Policy shall prevail.
The Japanese-language version of these Terms is the authoritative text. If translated versions are provided in other languages, the Japanese version shall govern in the event of any discrepancy in interpretation, except to the extent this would conflict with mandatory local law.
Notwithstanding any provision of these Terms, nothing herein limits any rights granted to Users under mandatory consumer protection laws in their country of residence. Where such mandatory laws apply, the relevant provisions of these Terms shall be modified and applied to the extent required by such laws.
Article 1 (Application)
These Terms apply to all relationships between Users and the Company arising from use of the Services.
We may revise these Terms as necessary, and the revised Terms take effect upon being posted on our website. If a User continues to use the Services after a revision, the User is deemed to have agreed to the revised Terms.
Article 2 (Age Requirements; Accounts)
Users represent and warrant that they have reached the age of majority in their place of residence, or, if a minor, that they have obtained the consent of a parent or legal guardian.
When creating an account, Users must register accurate and current information and properly manage their login credentials. Except in cases of the Company's willful misconduct or gross negligence, the Company shall not be liable for unauthorized use of an account.
Article 3 (Product Information, Stock, and Display)
We make every effort to display product images, colors, sizes, and other details as accurately as possible; however, actual appearance may differ from the images due to the User's device display settings and similar factors.
Product specifications, prices, and stock availability may change without notice. We may discontinue sales of a product at any time.
Article 4 (Price and Payment)
Product prices are displayed on each product page. Unless otherwise stated, displayed prices include consumption tax, but may not include shipping fees, handling charges, customs duties, or similar costs.
Payment methods, timing, and other conditions are subject to the instructions provided on the Site and at checkout.
Users must use a valid payment method registered in their own name, lawfully, and provide accurate billing information.
For international shipments, customs duties, import consumption tax, and any other locally incurred costs are the User's responsibility, as further detailed in our Shipping Policy.
Article 5 (Orders, Contract Formation, and Cancellation)
A sales contract is formed when the User completes the order process and the Company sends an order confirmation email.
Once an order is confirmed, no changes or cancellations can be accepted (except where required by law).
The Company may cancel, refuse, or restrict an order, or terminate the contract, if it determines that any of the following applies:
- The User's information contains false statements
- The product cannot be delivered due to prolonged absence, an unknown address, or similar reasons
- The purchase is reasonably determined to be for resale or commercial purposes
- Payment authorization cannot be obtained, or fraud is otherwise suspected
Article 6 (Shipping)
Shipping of products shall be handled in accordance with the Shipping Policy published on the Site.
Article 7 (Returns and Refunds)
Returns and refunds shall be handled in accordance with the Refund Policy published on the Site.
Article 8 (Shipping Fees and Free Shipping Conditions)
Shipping fees and conditions for free shipping shall follow the Shipping Policy published on the Site.
Article 9 (Pre-Orders and Made-to-Order Products)
Some products are available for pre-order. Conditions and delivery timelines vary by product, and the information displayed on each product page takes precedence over these Terms. Delivery estimates are approximate; delays alone do not entitle a User to cancel an order or receive a refund (except where permitted by law).
Article 10 (Intellectual Property Rights)
All rights in any content related to the Site and the Services (including text, images, logos, designs, video, audio, and layout) belong to the Company or its rightful rights holders. Users may not reproduce, modify, distribute, or repost such content beyond the scope of private use without authorization.
Article 11 (Prohibited Conduct)
When using the Services, Users must not:
- Engage in conduct that violates any law or public order and morals
- Infringe the rights or interests of third parties or the Company (including intellectual property rights, privacy, or reputation)
- Engage in conduct that disrupts operation of the Services, including unauthorized access, spam, scraping, or bot-driven load
- Provide false information, impersonate others, or make purchases for resale purposes
- Transmit harmful programs
- Engage in any other conduct the Company reasonably deems inappropriate
Article 12 (User Content and Feedback)
Reviews, photos, ideas, suggestions, and other content that Users provide to the Company (collectively, "Feedback") shall not be treated as confidential. The Company obtains a non-exclusive, sublicensable, royalty-free right to use such Feedback (including reproduction, modification, publication, and distribution) in any medium and manner, without restriction as to time or territory.
Users represent and warrant that they hold the necessary rights to their Feedback and that it does not infringe any third party's rights.
Article 13 (Third-Party Services and Optional Tools)
The Company may provide links or connections to tools or services provided by third parties. The Company does not endorse or guarantee such tools or services, and use of them is at the User's own risk.
The Site is operated on a platform hosted by Shopify Inc. Users acknowledge that Shopify is not a party to the sales contract with the Company and bears no responsibility for such transactions.
Article 14 (Disclaimer of Warranties)
The Company makes no warranty, express or implied, that the Services will always be provided securely, without interruption, or free of errors, nor as to the accuracy or reliability of any results obtained through the Services.
Products are provided "as is" and "as available." To the maximum extent permitted by applicable law, the Company disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Article 15 (Limitation of Liability)
Except where prohibited by the Consumer Contract Act or other mandatory laws, the Company shall not be liable for any indirect, incidental, special, or consequential damages, loss of profit, or loss of data arising from or related to a User's use of the Services or products.
Where the Company is found liable for damages to a User, such liability shall be limited to damages arising from the Company's negligence (excluding gross negligence), limited to actual ordinary damages incurred by the User, and capped at the amount the User actually paid for the product that caused the damage.
Article 16 (Indemnification)
If a third party makes a claim related to a User's violation of these Terms or unlawful conduct, and the Company incurs damages as a result, the User shall indemnify the Company for all costs and damages, including reasonable attorney's fees.
Article 17 (Handling of Personal Information)
Personal information collected by the Company shall be handled in accordance with the Company's Privacy Policy. Information collected and processed by Shopify or other partners is subject to each respective provider's privacy policy.
Article 18 (Termination and Suspension of Use)
If a User violates these Terms, the Company may, without prior notice, suspend the User's use of the Services, delete the User's account, cancel orders, or take other such measures.
Article 19 (Force Majeure)
The Company shall not be liable for any delay or failure to provide all or part of the Services caused by natural disasters, pandemics, war, civil unrest, terrorism, fire, power outages, communication failures, enactment or repeal of laws, actions by public authorities, labor disputes, logistics disruptions, or other causes beyond the Company's reasonable control.
Article 20 (Assignment of Rights and Obligations)
Users may not assign, transfer, or pledge as collateral their position or rights and obligations under these Terms to any third party without the Company's prior written consent. The Company may assign its position or rights and obligations under these Terms to a third party in connection with a business transfer, corporate split, or other business reorganization.
Article 21 (Severability; No Waiver)
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect. Any delay or failure by the Company to exercise a right shall not constitute a waiver of that right.
Article 22 (Governing Law and Jurisdiction)
These Terms are governed by the laws of Japan. Any dispute arising between the Company and a User in connection with the Services shall be subject to the exclusive jurisdiction of the Japanese court having jurisdiction over the location of the Company's head office (the Tokyo District Court or the Tokyo Summary Court) as the court of first instance.
